Stockholder's suit brought in the Hennepin County District Court by Edward B. McMenomy and Ellen T. McMenomy to recover damages sustained by reason of the alleged mismanagement of certain corporate funds. Eighteen individuals and Electro-Logic Corporation, National Semiconductor Corporation, Technical Management Services Corporation, and Midwest Technical Development Corporation were named as defendants. The court, Douglas K. Amdahl, Judge, denied a motion by some of the individual defendants for summary judgment and certified the questions presented to be important and doubtful, and they appealed from said order.
